1. Acceptance of Terms

By accessing, registering, subscribing to, or using Reply.la ("Service", "Software", "Platform"), you expressly acknowledge, understand, and agree to be legally bound by these Terms & Conditions ("Terms") and our Privacy Policy.

If you do not agree with any part of these Terms, you must not use the Service.

Your continued use of the Service constitutes automatic and unconditional acceptance of all Terms herein.

2. Description of Service

Reply.la is a SaaS automation platform that enables users to automate workflows, messaging, and business processes by integrating with third-party services including but not limited to Google Sheets, Google Contacts, and other supported platforms.

The Service acts as an automation facilitator only. Reply.la does not own, control, or generate customer data.

3. User Responsibilities

You agree that:

You are solely responsible for all activities conducted through your account.
You must comply with all applicable laws, regulations, and third-party platform policies (including but not limited to Google, Meta, WhatsApp, Facebook, and other partners).
You will not use the Service for unlawful, abusive, or policy-violating activities.
You understand that third-party platforms may suspend, restrict, or terminate accounts at their sole discretion, beyond our control.

Reply.la does not guarantee account safety, deliverability, approval, or continued access to any third-party service.

4. Third-Party Platforms & Account Bans

Reply.la shall not be liable for:

Any suspension, restriction, limitation, or termination of user accounts by third-party platforms (including Meta, Google, WhatsApp, Facebook, or others).
Any loss of data, access, revenue, reputation, or business resulting from such actions.

It is the user's sole responsibility to understand, follow, and continuously comply with the rules, policies, and updates issued by these third-party platforms.

5. Subscription, Billing & Auto-Renewal

5.1 Auto-Renewal

All subscriptions are auto-renewed by default.
It is the customer's responsibility to disable auto-renewal prior to the next billing cycle if they wish to discontinue the Service.
Failure to cancel auto-renewal shall result in automatic billing.

5.2 Cancellation After 7 Days

If cancellation is requested after the 7-day refund window, the subscription will remain active until the end of the current billing period.
No partial refunds will be issued for unused time.

6. Refund Policy

6.1 Refund Eligibility

A full refund is available if requested within 7 calendar days from the initial subscription date.
Refund requests submitted after 7 days shall be strictly rejected.

6.2 Non-Refundable Situations

Refunds will not be granted for:

Account bans or restrictions by third-party platforms.
Failure to cancel auto-renewal.
Change of mind after 7 days.
Misunderstanding of features or limitations clearly documented.

All refund decisions made by Reply.la are final.

7. Plan Upgrade & Downgrade Policy

7.1 Upgrade

When upgrading, users are required to pay the price difference calculated based on:

Remaining subscription days
Daily rate of the new plan

7.2 Downgrade

Any remaining balance will be converted into system credit.
Credits will be used to extend the subscription duration of the downgraded plan.
Credits are non-transferable and non-redeemable for cash.

8. Data Ownership

All data accessed, processed, or automated through Reply.la remains the sole property of the user.
Reply.la does not claim ownership over user data.

9. Limitation of Liability

Reply.la shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, profit, data, or business interruption.

Use of the Service is entirely at your own risk.

10. Termination

Reply.la reserves the right to suspend or terminate accounts that violate these Terms, applicable laws, or third-party policies without prior notice.

11. Changes to Terms

Reply.la reserves the right to modify these Terms at any time. Continued use after updates constitutes acceptance.
